In a statement issued after <em>Billboard<\/em> inquired about the lawsuit, Reach said it was Capitol CMG that had proposed the deal in the first place, before it \u201creneged on a contract at the last possible minute.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\t\u201cWe aren\u2019t trying to be nasty about this, but believe it\u2019s critical that major institutions are held accountable for their actions and can\u2019t move without consequence toward the independent creative community,\u201d the company said. In addition to Lecrae himself \u2014 whose 2014 <em>Anomaly<\/em> reached No. 1 on the Billboard 200 \u2014 the label is home to Tedashii and Trip Lee and formerly to Andy Mineo, KB and others.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tAccording to the lawsuit, Capitol CMG was negotiating \u201cthroughout 2025\u201d to buy Reach before eventually settling on a final price that was approved in July by a UMG \u201cinvestment committee.\u201d The two sides then signed a letter of intent, which Reach says was a binding price that couldn\u2019t be changed unless due diligence revealed \u201cmaterial adverse findings\u201d \u2014 a typical provision in a merger agreement.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tAfter no such red flags were uncovered, the lawsuit claims, the two sides started hammering out a full agreement. That is, until September, when Capitol CMG chief executive <strong>Brad O\u2019Donnell<\/strong> allegedly informed Reach that \u201cthere was a layer of approval\u201d still needed for the deal \u2014 and that it had been rejected due to the purchase price.<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\t\u201cDefendant has breached its obligation evidenced by the [letter of intent],\u201d Reach\u2019s attorneys write. \u201cGiven the parties\u2019 extensive work on the deal, defendant\u2019s last-minute, unjustified change of position as to the purchase price also constitutes a breach of its implied duty of good faith and fair dealing.\u201d<\/p>\n<p class=\"paragraph larva \/\/ lrv-u-margin-lr-auto  lrv-a-font-body-m   \">\n\tIn its separate statement, Reach said the sudden collapse of the deal came after eight months of negotiations, and after the company \u201caltered parts of our business\u201d to get ready for the merger: \u201cWe were literally at the finish line.
