{"id":10158,"date":"2026-04-04T20:10:48","date_gmt":"2026-04-04T20:10:48","guid":{"rendered":"https:\/\/usatrustedlawyers.com\/blog\/uk-public-ma-monthly-activity-update-march-2026-herbert-smith-freehills-kramer\/"},"modified":"2026-04-04T20:10:48","modified_gmt":"2026-04-04T20:10:48","slug":"uk-public-ma-monthly-activity-update-march-2026-herbert-smith-freehills-kramer","status":"publish","type":"post","link":"https:\/\/usatrustedlawyers.com\/blog\/uk-public-ma-monthly-activity-update-march-2026-herbert-smith-freehills-kramer\/","title":{"rendered":"UK Public M&#038;A Monthly Activity Update: March 2026 | Herbert Smith Freehills Kramer"},"content":{"rendered":"\n<div id=\"html-view-content\">\n<p>In March 2026, there were three Rule 2.7 announcements made across the UK public M&amp;A market and seven further possible offers \/ sale processes announced.<\/p>\n<h3><strong>Firm Offers announced this month:<\/strong><\/h3>\n<ul>\n<li>Recommended cash offer by Zurich Insurance Group Ltd for Beazley plc \u2013 \u00a38.1 billion<\/li>\n<li>Hostile pre-conditional cash offer by Helios Consortium for CAB Payments Holdings plc \u2013 \u00a3221 million \u2013 public to private \u2013 unlisted securities alternative<\/li>\n<li>Recommended cash offer by Lesha Bank LLC (Public) for Amedeo Air Four Plus Limited \u2013 \u00a3190 million <\/li>\n<\/ul>\n<h3><strong>Possible Offer announced this month:<\/strong><\/h3>\n<ul>\n<li>Possible offer by Almadiyaf al-Masiyyah for Trading LLC for Capricorn Energy PLC \u2013 cash consideration<\/li>\n<li>Possible offer by StoneX Group Inc. for CAB Payments Holdings plc \u2013 \u00a3241.4 million \u2013 cash consideration<\/li>\n<li>Strategic review announced by Afentra plc<\/li>\n<li>Strategic review including a formal sale process announced by Surface Transforms plc<\/li>\n<li>Possible offer by AEW UK REIT plc for Alternative Income REIT plc<\/li>\n<li>Formal sale process announced by Checkit plc <\/li>\n<li>Possible offer by Atlas Holdings LLC for BRCK Group plc \u2013 \u00a3209.4 million \u2013 cash consideration<\/li>\n<\/ul>\n<h3><strong>Firm Offers breakdown this month:<\/strong><\/h3>\n<h3><\/h3>\n<h3><strong>Year to date breakdown:<\/strong><\/h3>\n<h3><img loading=\"lazy\" decoding=\"async\" alt=\"\" height=\"227\" src=\"https:\/\/www.hsfkramer.com\/dam\/jcr:d326df81-5a49-437a-8803-df740995d444\/year%20to%20date%20breakdown%20Mar%202026.JPG\" width=\"891\" title=\"\"><\/h3>\n<h4>Government response on changes to mandatory notification sectors under the National Security and Investment Act<\/h4>\n<p>The government has published its <a href=\"https:\/\/www.gov.uk\/government\/consultations\/consultation-on-the-nsi-act-notifiable-acquisition-regulations\" rel=\"noopener noreferrer nofollow\" target=\"_blank\">response<\/a> following the consultation on proposed amendments to the sectors where notification of transactions under the National Security and Investment Act 2021 (NSI Act) is mandatory.<\/p>\n<p>The <a href=\"https:\/\/www.legislation.gov.uk\/uksi\/2021\/1264\" rel=\"noopener noreferrer nofollow\" target=\"_blank\">National Security and Investment Act 2021 (Notifiable Acquisitions) (Specification of Qualifying Entities) Regulations 2021<\/a> (the NARs) contain details of the 17 sensitive sectors where filing is mandatory for certain changes of control under the NSI Act. The changes to the scope of these sectors will therefore have an impact on when a mandatory filing needs to be made.<\/p>\n<p>The government has confirmed that, in line with the proposals consulted on, it will:<\/p>\n<ul>\n<li>create standalone sectors for critical minerals and semiconductors, and update the artificial intelligence and communications schedules to reduce low-risk notifications;<\/li>\n<li>make clarifying amendments to the scope and definitions of the critical suppliers to government, data infrastructure, energy, and suppliers to the emergency services schedules;<\/li>\n<li>create a new schedule to cover acquisitions in the water sector;<\/li>\n<li>keep the updated advanced materials and synthetic biology schedules as they are; and<\/li>\n<li>provide updated, more detailed guidance across the NARs to address topics frequently raised in feedback.<\/li>\n<\/ul>\n<p>The government says it intends to lay secondary legislation later this year.<\/p>\n<p>For further details on the changes consulted on, see our Competition Notes blog post <a href=\"https:\/\/www.hsfkramer.com\/notes\/crt\/2025-07\/uk-government-publishes-consultation-on-changes-to-national-security-and-investment-act-notifiable-acquisitions\" rel=\"noopener noreferrer nofollow\" target=\"_blank\">here<\/a>. <\/p>\n<h4>M&amp;A \u2013 our sector and broader perspectives for 2026<\/h4>\n<p>We have now published the <a href=\"https:\/\/www.hsfkramer.com\/insights\/reports\/2026\/global-ma-report-2026\/sector-perspectives\" rel=\"noopener noreferrer nofollow\" target=\"_blank\">sector and broader perspectives<\/a> chapter of our global M&amp;A report for 2026.<\/p>\n<p>We explore topics across a range of sectors and perspectives.
